By accessing or using the Nocwing platform and its integrations ("Service"), you ("User") agree to be bound by this End User License Agreement ("Agreement"). If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity to this Agreement. If you do not agree to these terms, do not use the Service.
Subject to the terms of this Agreement, Nocwing ("Company," "we," or "us") grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations. This license does not include any right to sublicense, resell, or make the Service available to third parties.
The Service provides AI-assisted access to business data through integrations with third-party platforms, including QuickBooks (provided by Intuit Inc.). These integrations allow authorized users to query, retrieve, and interact with data from connected third-party accounts through a secure interface.
The Service integrates with Intuit's QuickBooks platform. Your use of the QuickBooks integration is also subject to Intuit's Terms of Service and any applicable Intuit developer agreements. Nocwing is not affiliated with Intuit Inc. QuickBooks is a trademark of Intuit Inc.
By connecting a third-party account (such as QuickBooks) to the Service, you authorize Nocwing to access and retrieve data from that account on your behalf, to the extent permitted by the permissions you grant during the authorization flow. You may revoke this authorization at any time through the third-party platform's settings.
Your use of any third-party service integrated with the Service remains subject to that third party's own terms and policies. Nocwing is not responsible for the availability, accuracy, or conduct of third-party services.

The Service, including all software, interfaces, and documentation, is owned by Nocwing and protected by applicable intellectual property laws. This Agreement does not transfer any ownership rights to you. You retain ownership of your own data that you access through the Service.
Nocwing's collection and use of information in connection with the Service is described in our Privacy Policy, which is incorporated into this Agreement by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NOCWING DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
NOCWING DOES NOT GUARANTEE THE ACCURACY OR COMPLETENESS OF ANY DATA RETRIEVED FROM THIRD-PARTY INTEGRATIONS. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ANY INFORMATION OBTAINED THROUGH THE SERVICE BEFORE RELYING ON IT FOR BUSINESS DECISIONS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOCWING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF NOCWING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL NOCWING'S TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO NOCWING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Nocwing and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of this Agreement; or (c) your violation of any third party's rights.
Nocwing may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Upon termination, the license granted under this Agreement will immediately cease. Sections 6, 7, 8, 9, 10, and 13 of this Agreement survive termination.
Nocwing reserves the right to modify this Agreement at any time. We will provide notice of material changes by updating the effective date or by other reasonable means. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Agreement.
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Spalding County, Georgia.
